Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Authex platform and related services ("Service") operated by Spectrace Teknoloji ("Company"). Please read these Terms carefully before using the Service. By using the Service, you agree to be bound by these Terms.

1. Parties and Scope

These Terms form a binding agreement between the Company and the business or individual using the Service ("Customer" or "User"). If the Customer is acting on behalf of a legal entity, the person accepting these Terms represents that they have authority to bind that entity.

2. Description of the Service

Authex is a B2B SaaS platform that helps businesses monitor and protect their brand assets and reputation across digital channels. The scope and features of the Service vary according to the selected subscription plan.

3. Account Registration and Security

  • You must create an account with accurate and up-to-date information to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately upon becoming aware of any unauthorised access to your account.
  • Each account may only be used by a single business; access credentials may not be shared.

4. Subscription and Payment

  • The Service is offered on a subscription basis with pricing according to the selected plan.
  • Fees are charged at the beginning of each billing period and are non-refundable.
  • Price changes are notified at least 30 days before they take effect.
  • Failure to fulfil payment obligations may result in suspension of the Service.

5. Acceptable Use

The following activities are strictly prohibited:

  • Reproducing, distributing, or sub-licensing any part of the Service without authorisation
  • Attempting to gain unauthorised access to the platform or probing for security vulnerabilities
  • Engaging in activities that disrupt the normal operation of the Service or damage its infrastructure
  • Using the Service for unlawful purposes or in a manner that infringes third-party rights
  • Collecting data from the platform using unauthorised automated tools (bots, crawlers, etc.)
  • Distributing false, misleading, or harmful content through the Service

6. Intellectual Property

All intellectual property rights in the Service and its content belong to the Company. Under these Terms, you are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

The Customer retains ownership and legal responsibility for data it uploads to or processes through the Service.

7. Confidentiality

Both parties agree to protect confidential information obtained in connection with the Service and not to disclose it to third parties.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, special, incidental, or consequential damages. The Company's total liability is limited to the fees paid by the Customer in the three (3) calendar months preceding the month in which the damage occurred.

9. Disclaimer of Warranties

The Service is provided "as is" within the framework of applicable law. The Company does not warrant that the Service will be uninterrupted or error-free, and makes no express or implied warranties.

10. Term and Termination

  • These Terms cease to apply when you close your account or your subscription expires.
  • The Company may suspend the Service or terminate this agreement without prior notice in the event of a breach of these Terms.
  • Fee obligations accrued before termination remain valid.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye. Disputes shall first be resolved through negotiation; if unresolved, the Courts and Enforcement Offices of Istanbul (Çağlayan) shall have exclusive jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be notified at least 15 days before they take effect. Continued use of the Service after a change constitutes acceptance of the updated Terms.
